1. Acceptance of terms

By creating an account or using Cellar, you agree to these Terms & Conditions in full. If you do not agree, you must not use the service. Continued use of the service constitutes ongoing acceptance of these terms as updated from time to time.

2. What Cellar is

Cellar is a stock management and ordering tool for hospitality venues. It allows venue managers to track products, manage suppliers, create orders, and maintain brand and rep relationships.

Cellar is a software tool only. It does not place orders on your behalf, manage finances, or act as a licensed distributor or supplier. You are solely responsible for all purchasing, ordering, and financial decisions made using the platform.

3. Account registration

You must provide accurate and complete information when creating an account. You are solely responsible for all activity that occurs under your account. You must notify us immediately of any unauthorised access.

We reserve the right to reject or terminate any account at our sole discretion.

4. Acceptable use

You agree to use Cellar only for lawful purposes. You must not:

  • Use the service to store or process illegal content
  • Attempt to access other users' accounts or data
  • Reverse engineer, scrape, copy, or reproduce any part of the platform or its product catalogue
  • Use the AI import feature to process content you do not have the right to use
  • Misrepresent your identity, venue, or business information
  • Use the platform in any way that could damage, overburden, or impair our systems

5. Data and licence

You retain ownership of the raw data you input into Cellar — your product lists, supplier details, and order records.

By using Cellar, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, store, process, analyse, and exploit your data (including anonymised and aggregated forms) for any purpose, including but not limited to:

  • Providing and improving the Cellar platform and product catalogue
  • Training and improving AI and machine learning models
  • Generating industry insights, benchmarking reports, and market intelligence
  • Commercial use of anonymised and aggregated data, including providing insights to third parties such as suppliers, distributors, and industry bodies

We will not sell or share data in a form that identifies you or your venue without your explicit consent.

6. Intellectual property

Cellar, including its platform, product catalogue, AI models, features, design, and all improvements, is our exclusive intellectual property. Nothing in these terms grants you any rights to our intellectual property.

Any feedback, suggestions, or ideas you provide to us may be used by us freely without obligation or compensation to you.

7. Product catalogue

The product catalogue is provided for reference and convenience only. We make no warranties as to its accuracy, completeness, or currency. Always confirm product details, pricing, and availability directly with your suppliers.

8. AI-assisted features

AI-generated results may contain errors or inaccuracies. You are solely responsible for reviewing, verifying, and approving all AI-generated content before acting on it. We accept no liability for losses arising from reliance on AI-generated data.

9. Subscription and payment

Cellar may offer paid subscription plans. By subscribing, you authorise us to charge your payment method on a recurring basis at the stated rate.

  • All fees are non-refundable except where required by Australian Consumer Law
  • We may change pricing at any time with reasonable notice to active subscribers
  • Failure to pay may result in suspension or termination of your account
  • Cancellation takes effect at the end of the current billing period

10. Service availability and modifications

We do not guarantee uninterrupted, error-free access to Cellar. We may modify, suspend, or discontinue any part of the service at any time without notice or liability. We may update features, pricing, or functionality at our sole discretion.

11. Termination

We may suspend or terminate your account at any time, for any reason, with or without notice. Reasons may include, but are not limited to, violation of these terms, non-payment, or at our sole discretion.

You may delete your account at any time via My Account → Delete Account. Upon deletion, your personally identifiable information will be removed. We retain the right to keep anonymised and aggregated data derived from your usage indefinitely.

12. Indemnification

You agree to indemnify and hold harmless Cellar and its operators from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, your violation of these terms, or any data you submit to the service.

13. Limitation of liability

To the maximum extent permitted by Australian law, Cellar is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, special, or consequential damages including but not limited to stock shortfalls, ordering errors, lost profits, or data loss, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim shall not exceed the amount you paid us in the 3 months preceding the claim.

14. Governing law

These terms are governed by the laws of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria.

15. Changes to these terms

We may update these Terms & Conditions at any time. Changes take effect upon posting. Continued use of Cellar after changes are posted constitutes acceptance of the updated terms.
